This Website (the "Website") is owned and operated by Nadia Ariefdien ("I," "me," or "my"). By accessing or using my Website and engaging my design services, you ("you" or "Client") agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using my Website or engaging my services.
ACCEPTANCE OF TERMS
By using my Website, submitting an inquiry, engaging my design services, or purchasing my products, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use my Website, engage my services, or purchase, download, or use any of my products.

Custom Design Services
The specific services I will provide you with will be outlined in the individual project proposal and contract.
INQUIRY & DISCOVERY PROCESS
Inquiries: Clients can submit inquiries through the inquiry form on my Website or via email at nadia.ariefdien01@gmail.com.
Follow-up: I will contact you via email at the email address you provided in your inquiry form submission to discuss your project further.
PROPOSALS
As soon as I've gathered all the necessary information from you following your inquiry form submission and follow-up email communication, I'll draw up a proposal.
My proposal will provide a clear overview of what I can offer you, including the specific deliverables, a proposed project timeline, and different pricing package options. It will also outline important details such as my policies on payment, cancellation, late payment fees, and communication standards.
CONTRACTS
Upon agreement of the proposal, a formal contract will be provided to the Client for review and signature. The contract will detail the specific services to be provided, deliverables, project timeline, payment terms, cancellation policies, communication standards, and other relevant terms and conditions. No work will commence until the contract is signed by both parties and the deposit payment has been processed.
PAYMENT TERMS
CLIENT PROJECTS:
Deposit: A non-refundable deposit, ranging from 10% to 20% of the total project fee (as specified in the contract), is required to initiate the project.
Payment Methods: Payments are accepted via Paystack or Contra.
Payment Schedule: Clients can choose to pay the total project fee upfront or in instalments, with due dates for each instalment as outlined in the contract.
Late Payment Fees: In the event of late payment, a late payment fee of $1 (USD) will be charged daily, commencing from the day immediately following the due date.
DIGITAL PRODUCTS:
All digital product purchases require full payment at the time of purchase. Payments are processed securely via Paystack.
PROJECT MANAGEMENT & COMMUNICATION
I will primarily communicate with Clients via email and Contra. Clients will be provided access to a Notion project portal for viewing project timelines, receiving updates, downloading files, and tracking progress. Clients are expected to respond to my communications in a timely manner to ensure the smooth progression of the project.
PROJECT CHANGES & REVISIONS
Changes to Deliverables: Clients may request changes to the project deliverables. Requests must be submitted via the agreed communication channels (email or Contra). Changes that alter the scope of work may result in a revised proposal, timeline, and contract.
Additional Revisions: The contract will specify the number of included revisions. Additional revisions beyond this will be billed at an hourly rate as specified in the contract.
CANCELLATION & TERMINATION
Cancellation by Client: Clients may terminate the project subject to the following conditions:
Payment of the agreed-upon cancellation fee (as specified in the contract).
Completion and submission of a notice of termination form (provided at the start of the project).
The cancellation request is made within the agreed cancellation window (dates) outlined in the contract.
The notice of termination form must be signed by both the Client and me to be effective.
Termination by Service Provider: I reserve the right to terminate the contract if the Client fails to respond to my communication for a continuous period exceeding 10 business days.
Consequences of Cancellation:
Upon cancellation, the Client has the option to receive the final versions of the deliverables completed up to the point of cancellation. Payments due up to the cancellation date are non-refundable; only advance payments will be refunded. Clients with outstanding payments must settle their account before termination. For projects paid in full upfront, a proportionate refund will be issued based on the completed work.
The initial deposit is non-refundable in all cases.
If the Client forfeits the completed deliverables, the total project fee less the deposit will be refunded.
In cases of termination due to the Client's lack of communication, the Client will be notified and given 10 business days to respond and choose whether to terminate and receive/forfeit deliverables. Failure to respond within this period will result in automatic termination on the 11th business day, with the Client forfeiting all deliverables and payments.
Refund Processing: All refunds will be processed through the original payment channel (Paystack or Contra).
INTELLECTUAL PROPERTY
Ownership of Final Deliverables: Upon full payment, the Client will be granted ownership of the final versions of the deliverables as specified in the contract.
Ownership of Rejected Concepts and Work Files: I retain ownership of all design concepts not selected by the Client and all original work files created throughout the project.
Ownership of Templates: I retain ownership of any template designs used or created in connection with the project.
Right to Showcase Work: I reserve the right to reproduce, distribute, display, and adapt any work created for the project for my portfolio and promotional purposes, provided I obtain permission to reproduce, distribute, display, or adapt the final versions of the deliverables the Client is entitled to receive unless other terms have been agreed upon.
Digital Products: Nadia Ariefdien's digital products, if modified or not, and all intellectual property and copyright contained therein, are and shall at all times remain my sole and exclusive property. You agree that under no circumstances, whether the product has been modified or not, shall you have or attempt to re-sell or claim ownership of any intellectual property rights or copyright in any product created and sold by Nadia Ariefdien.
CONFIDENTIALITY
I will treat all information provided by the Client as confidential and will not disclose it to third parties unless required by law or for the purpose of providing my services (e.g., sharing files via secure platforms). Similarly, the Client agrees to keep my proprietary information and processes confidential.
DIGITAL PRODUCT PURCHASES
I offer various digital products for sale on my Website, which may include, but are not limited to, templates, guides, e-books, design assets, and other digital content.
All digital product purchases require full payment at the time of purchase. Payments are processed securely via Paystack.
Due to the nature of digital goods, once a product has been purchased, accessed, or downloaded, it cannot be returned. No refunds will be provided for digital product purchases. This policy is in place to protect my intellectual property. Please carefully review the product description, specifications, and compatibility requirements before completing your purchase.
I strive to ensure that all digital products are accurately described and function as intended.
Issues with Access/Download: If you experience any technical difficulties accessing or downloading your purchased product, please contact me at nadia.ariefdien01@gmail.com within 7 days of your purchase. I will work with you to resolve the issue promptly.
Product Defects or Significant Discrepancies: If you believe a digital product is faulty, corrupted, or significantly not as described in its listing, you must notify me via email at nadia.ariefdien01@gmail.com within 7 days of your purchase. Please provide detailed information and, if possible, screenshots or other evidence of the issue. I will review your claim and, if the issue is confirmed, I will provide a corrected version of the product. This does not entitle you to a refund.
When you purchase a digital product, you are granted a limited, non-exclusive, non-transferable license to use the product for its intended purpose, as specified in the individual product description or any accompanying license file.
Unless explicitly stated otherwise in the product description or a specific license:
You may not resell, redistribute, sub-license, share, or transfer the digital product to any third party.
You may not modify the digital product for the purpose of reselling or redistributing it.
The copyright and all intellectual property rights for all digital products remain with Nadia Ariefdien.
Any unauthorized use, reproduction, or distribution of my digital products is strictly prohibited and may result in legal action.
I reserve the right to modify or discontinue any digital product at any time without prior notice. I also reserve the right to update these Digital Product Terms and Conditions at any time. Any changes will be effective immediately upon posting on my Website. Your continued purchase or use of digital products after any such changes constitutes your acceptance of the new Digital Terms.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, Nadia Ariefdien shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, damages for loss of profits, data, use, goodwill, or other intangible losses) arising out of or relating to your use of my Website or my services, even if I have been advised of the possibility of such damages. My total liability to you for any claim arising out of or relating to these Terms or my services shall not exceed the total fees paid by you to me for the specific project in question.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Nadia Ariefdien, my affiliates, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, your use of my Website, or your engagement of my services.
GOVERNING LAW & JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or my services shall be resolved exclusively in the courts of Gqeberha, Eastern Cape, South Africa.
